Swojas Foods' board has approved raising up to ₹79,99,94,250 (~₹80 crore) by issuing up to 4,84,84,500 convertible equity warrants on a preferential, private placement basis to 11 non-promoter allottees. Each warrant is priced at ₹16.50 (face value ₹10 + ₹6.50 premium) and is convertible into one equity share within 18 months, with 25% payable upfront and the remaining 75% on conversion. The largest allotments go to Softrak Venture Investment Ltd and Onelife Capital Advisors Ltd, each receiving 1 crore warrants (~12.59% post-issue stake). An EGM is scheduled for December 3, 2025, to seek shareholder approval. The board also approved unaudited H1 FY26 results showing revenue of ₹6,667.65 lakhs (vs ₹782.89 lakhs in H1 FY25) and net profit of ₹58.60 lakhs.
If approved, the warrant issue will significantly dilute existing shareholders, with the 11 non-promoter allottees collectively holding a majority stake post-conversion. The large capital raise could fund business expansion, but the steep dilution is a key concern for current shareholders.
