Sarita Sequeira, part of the promoter group of Tahmar Enterprises Ltd, disposed of 1,44,73,240 equity shares (about 10.74% of paid-up share capital and 8.80% of diluted capital) through an off-market transaction on 19 May 2025. Before the sale, the promoter group held 10,08,00,740 voting shares (74.78% of paid-up capital) plus 2,96,00,000 convertible warrants held by Rajshekhar Cadakketh Rajasekhar Nair; all the disposed shares belonged to Sarita Sequeira personally. After the disposal, the promoter group's voting shareholding comes down to roughly 8,58,00,740 shares (63.66% of paid-up capital, 52.19% on a diluted basis), while including warrants the promoter group effective holding drops to about 85.62% / 70.20%. The PACs listed include family members — Shon Antony Sequeira, Rajshekhar Cadakketh Rajasekhar Nair, Suseela Rajasekharan Nair, and Lakshmi Rajashekharan Nair. The transaction was a private, off-market deal (not on the exchange), and the promoter group continues to retain majority control of the company.
A 10%+ block of shares has shifted from the promoter's personal account to an unnamed buyer via an off-market route, which may be an inter-se transfer within the promoter group or a structured deal. Although the promoter group stays comfortably above the 50% control threshold, retail investors should note the off-market nature of the transaction, watch for any further disclosures from the buyer, and track whether more stake movement follows.
