Bharat Taparia, a member of the promoter group of Taparia Tools Ltd, has disclosed the acquisition of 7,37,380 equity shares (4.86% of total share capital) under SEBI's Takeover Regulations. The shares were received as a gift from his father, Mr. Jayakrishna Taparia (promoter), through an off-market inter-se transfer on December 6, 2025. Prior to this, Bharat Taparia held 8,90,030 shares (5.86%), and after the gift, his holding stands at 16,27,410 shares (10.72%), crossing the 10% substantial shareholder threshold. The total share capital of the company remains unchanged at 1,51,78,750 equity shares of Rs. 10 each. Since this is a transfer within the promoter family, the overall promoter group holding in the company does not change.
This is a neutral event for shareholders as it is merely an internal family reorganisation of promoter holdings (gift from father to son) and does not change the total promoter stake in the company. However, Bharat Taparia has now crossed the 10% substantial shareholder disclosure threshold, which means he will be subject to additional SEBI compliance requirements going forward.
