Tata Motors Limited has informed the exchange of multiple board and key managerial changes linked to its Composite Scheme of Arrangement that splits the company into two listed entities. Three Independent Directors (Ms Hanne Sorensen, Mr Kosaraju Chowdary, Mr Guenter Butschek) will step down, while Ms Sudha Krishnan, a former IAAS officer with four decades of public policy and finance experience, is appointed as an Additional Non-Executive Independent Director for 5 years effective October 1, 2025. Mr Girish Wagh resigns as Executive Director and KMP, and Mr Shailesh Chandra is appointed as MD & CEO for 3 years. Mr P B Balaji resigns as Group CFO to become CEO of Jaguar Land Rover UK, with Mr Dhiman Gupta taking over as CFO. The Scheme, approved by NCLT, will make Tata Motors Limited (renamed) the passenger vehicles entity and TML Commercial Vehicles Limited the listed CV entity, with shareholders getting 1 share of TMLCV for every 1 share held.
Shareholders will own two listed Tata Group auto entities instead of one, with mirrored shareholding in TMLCV (commercial vehicles) and the renamed Tata Motors Passenger Vehicles Limited (passenger vehicles). Existing shareholders receive 1 new TMLCV share per Tata Motors share held, effective October 1, 2025. Short-term volatility is possible around the record date as the market digests the dual-listing structure and leadership transitions.
