TCC Concept Limited (formerly Aaswa Trading and Exports Limited, BSE Scrip: 512038) has issued a postal ballot notice to shareholders for 8 resolutions to be voted through e-voting between June 17 and July 16, 2025 (results by July 18, 2025). Two special resolutions seek to fix the remuneration of Managing Director Mr. Umesh Kumar Sahay and Non-Executive Director Mr. Abhishek Narbaria, with the board authorised to treat these as minimum remuneration even during periods of losses or inadequate profits. The other six ordinary resolutions seek approval for material related party transactions for FY26 with entities under common management — EFC Limited (₹26.5 cr), DC&T Global Private Limited (₹25 cr), Whitehills Interior Limited (₹40 cr via subsidiary NES Data, ₹25 cr via subsidiary Brantford), and a large ₹200 cr transaction between subsidiary NES Data and DC&T Global, plus ₹19 cr (leasing) and ₹15 cr (asset purchase) transactions between wholly-owned subsidiary Brantford and EFC Limited.
Shareholders should review the proposed director remuneration (payable as minimum even in loss-making years) and the scale of related party deals — the ₹200 cr NES Data–DC&T Global transaction is particularly large relative to typical operating limits and warrants a check on terms and arm's length pricing. Approval (or rejection) will be driven by promoter-group voting control, so minority shareholders should cast their votes through the e-voting platform by July 16, 2025.
