TCI Express Limited reported audited FY26 results with standalone revenue of Rs 1,236.16 crore (up from Rs 1,208.27 crore in FY25) and standalone net profit of Rs 90.23 crore. However, consolidated net profit declined to Rs 85.81 crore from Rs 90.77 crore in FY25, primarily due to subsidiary losses. The Board re-appointed Mr. Chander Agarwal as Managing Director for 5 years from August 2026 and Mr. Vineet Agarwal as Director. Two new Non-Executive Independent Directors were appointed: Mr. Pavan Kumar Munjuluri and Mr. Vikram Singh Mehta for 5-year terms. The Nomination and Remuneration Policy was revised to strengthen succession planning. Additionally, 46,200 stock options were granted at Rs 250 per option under ESOP 2016 (10th Tranche), and an Executive Committee was constituted for operational management. The company also disclosed a Rs 51.36 crore GST demand pending at appellate level.
Revenue growth was modest at ~2.3% YoY. The decline in consolidated profit despite revenue growth is a concern, though offset by positive standalone performance. New independent directors and strengthened succession planning are positive governance steps. ESOP grant aligns employee and shareholder interests.
