Tech Mahindra's Board has approved a merger between two wholly owned step-down subsidiaries - Tech Mahindra Costa Rica Sociedad Anonima (TM CRSA) and Allyis Technology Solutions Sociedad de Responsabilidad Limitada (Allyis TSSRL). Both entities are based in Costa Rica, with TM CRSA being the transferor and Allyis TSSRL the transferee. The appointed date of merger is 1st April 2026. The combined turnover for FY 2024-25 was approximately USD 9.92 million (TM CRSA: USD 0.31 Mn, Allyis TSSRL: USD 9.61 Mn). The rationale is to consolidate operations, reduce the number of entities in the group, optimize operational costs, and reduce compliance risk. No cash consideration or new share issuance is involved since the transferor is already a wholly owned subsidiary of the transferee.
This is an internal restructuring of overseas subsidiaries with no impact on Tech Mahindra's shareholding pattern or standalone financials. The consolidation may result in minor cost savings but is immaterial given the small size of the entities involved.
