Tech Mahindra, through its wholly-owned subsidiary Tech Mahindra London Limited (TMLL), is buying the remaining 20% stake in Tech Mahindra Arabia Limited from Midad Company Limited for about Rs. 206.2 crore (SAR 83.7 million) in cash. The sale follows Midad's exercise of a put option granted under an existing shareholders' agreement. Once the deal closes, Tech Mahindra along with TMLL will own 100% of TechM Arabia, removing the minority partner. TechM Arabia is a Saudi Arabia-based IT services firm that does digital system integration and consulting in energy, utilities, banking, and telecom, with FY25 turnover of SAR 181.6 million (up from SAR 158.5 million in FY24). The acquisition is expected to complete by July 15, 2026, subject to approval from Saudi Arabia's competition authority.
This is a small, friendly consolidation that gives Tech Mahindra full control of its KSA subsidiary, simplifying ownership and removing a minority partner without changing the business. The ~Rs. 206 crore cash outflow is modest for a company of Tech Mahindra's size and is unlikely to move the stock meaningfully, though it strengthens its Middle East footprint.
