Tera Software Limited held its 31st AGM on September 26, 2025 (4:00 PM to 4:45 PM) at its registered office in Jubilee Hills, Hyderabad, and filed the voting results with BSE and NSE along with the scrutinizer's report. All 13 resolutions were approved, including adoption of audited financial statements for FY25, declaration of a Rs.1 per share equity dividend, re-appointment of Mr. Madhu Mitra Tummala as a director, material related party transactions with TS Innovations Private Limited, appointment of RPR & Associates as secretarial auditors, and special resolutions covering increased borrowing limits under Section 180(1)(c) and 180(1)(a), loans/guarantees under Section 185, and managerial remuneration for CMD Tummala Gopichand and Whole-Time Director T. Madhu Mitra including excess over SEBI LODR 17(6)(e) limits. The promoter group (65,62,293 shares) voted 100% in favor of all non-interested resolutions and abstained on interested ones. Of 15,978 shareholders on record date, 168 members participated in voting — 160 via e-voting and 8 through physical ballot — with turnout around 52% on the broader resolutions and 99.6–99.99% approval on most items.
Shareholders will receive a modest Rs.1 per share dividend, and the board now has expanded borrowing and asset-mortgaging authority, which could support growth but also raises leverage risk. Mild public dissent (around 4%) appeared on director-related and related-party resolutions, but all items passed comfortably, so no material negative stock impact is expected.
