The Anup Engineering Limited has called its 8th Annual General Meeting (AGM) for Wednesday, 20th August 2025 at 11:00 AM, to be held via video conferencing. The record date for dividend eligibility is set as 6th August 2025, and shareholders as on this date will be entitled to receive the FY25 dividend, if approved, within 30 days of the AGM (subject to TDS). The AGM agenda includes adoption of FY25 audited financial statements, declaration of dividend, re-appointment of director Sanjay Lalbhai (DIN 00008329) who retires by rotation, and appointment of M/s. ALAP & Co. LLP as Secretarial Auditor for a 5-year term (FY 2025-26 to FY 2029-30) with proposed fees of Rs. 1.20 lakh plus taxes for FY 2026. Two special resolutions seek shareholder approval to raise the company's borrowing limit from Rs. 800 crore to Rs. 1,500 crore under Section 180(1)(c), and to correspondingly enhance the limit for creating mortgages/charges on company assets to Rs. 1,500 crore under Section 180(1)(a). Additionally, the AGM will ratify the Rs. 35,000 remuneration for the Cost Auditor, M/s. Maulin Shah & Associates, for FY 2025-26.
Shareholders should note the 6th August 2025 record date to qualify for the proposed FY25 dividend and ensure KYC details are updated for timely credit. The near-doubling of the borrowing limit from Rs. 800 crore to Rs. 1,500 crore signals major expansion or acquisition plans, which could increase leverage and interest costs but supports growth ambitions.
