Bajaj Holdings & Investment Limited (BHIL) announced audited standalone and consolidated financial results for the quarter and year ended 31 March 2025 at its board meeting on 30 May 2025. The board recommended a final dividend of Rs. 28 per share (280% on face value of Rs. 10), taking total FY25 dividend to Rs. 93 per share (Rs. 65 interim + Rs. 28 final). Record date is 27 June 2025 and AGM is scheduled for 6 August 2025. On standalone basis, profit after tax was Rs. 1,291.83 crore in FY25 versus Rs. 2,896.46 crore in FY24 (lower largely because last year included a one-time Rs. 1,153 crore gain from Bajaj Auto buyback). The board also noted the completion of term of joint statutory auditor M/s. NBS & Co. and recommended appointing M/s. Khandelwal Jain & Co as the new joint statutory auditor for three years. M/s. DVD & Associates was recommended as the new secretarial auditor for five years.
Routine annual board outcome with healthy dividend payout; auditor changes are due to natural completion of a 3-year RBI-mandated term and unlikely to affect shareholders. The lower FY25 profit versus FY24 is mainly because the previous year had a one-time buyback gain, so underlying performance should be judged on dividend income and investment gains.
