The Board of Directors of LS Industries Limited ('the Company') at its meeting held today i.e. Monday, March 30 2026, inter alia, transacted the following businesses: ITEM NO. 5 Approval ....
Awaiting price reaction for this filing.
LS Industries Ltd's board has approved an additional investment of Rs. 31.5 lakh to subscribe to 3,15,000 equity shares of Robochef Agritech Private Limited, on top of an earlier Rs. 7.5 lakh investment for 75,000 shares. Combined, the company will hold 78% of Robochef Agritech, making it a subsidiary, with a total acquisition cost of Rs. 39 lakh (3,90,000 shares at face value of Rs. 10 each). Robochef Agritech operates in hydroponics farming and agritech/food processing automation — a sector outside LS Industries' current textile and paper trading business. The transaction is a related-party deal because the company's Managing Director, Nipun Goyal, is also a director and member of Robochef Agritech. Expected completion is April 30, 2026.
This is a small diversification move for LS Industries into a high-growth but unrelated agritech segment, with the company putting in just Rs. 39 lakh of cash. Minority shareholders should watch how the new subsidiary performs and whether further capital infusions are needed to scale Robochef's operations.
