PAE Ltd has signed Share Purchase Agreements on February 7, 2026 to acquire 100% stakes in four companies engaged in trading and processing of agricultural commodities: Epicurean Grove (Telangana), Vidyutva Cereals (Gujarat), Edenbloom Cereals (Rajasthan), and Agroblossom Grains (Rajasthan). The deals are entirely through a share swap, with PAE issuing approximately 2.57 crore new equity shares at Rs 60 per share (totaling roughly Rs 154 crore in issued capital) to the sellers. All four targets will become wholly owned subsidiaries of PAE, collectively adding around 12,000 points of sale across key Indian states to its distribution network. The Epicurean deal is flagged as a related party transaction since the promoter group is interested in the target. Completion is targeted within 15 days of receiving shareholder and stock exchange approvals.
This is a significant expansion move for PAE, boosting its distribution footprint across four states without any cash outflow. Shareholders should note the dilution risk from the preferential share issue and the related-party nature of the Epicurean acquisition, though the strategic logic of gaining immediate market access in growth markets is clear.
