Indiabulls Enterprises Ltd has informed exchanges about an internal restructuring within its promoter group. Zwina Infrastructure Private Limited will transfer its entire 21.04% stake (4,17,25,150 shares) equally to two other promoter group entities — Inuus Developers Private Limited and Valerian Real Estate Private Limited — with each receiving 10.52% (2,08,62,575 shares). The transfer is expected between May 22 and May 26, 2025, at market price or no more than 25% above the 60-day VWAMP of INR 16.95. After the transfer, Inuus Developers and Valerian Real Estate will each hold 15.96%, up from 5.44% each, while Zwina Infrastructure's holding will drop to zero. Total promoter group holding remains unchanged at 36.32% of the company's share capital, and the transaction is exempt from an open offer under Regulation 10(1)(a)(ii) of SEBI Takeover Regulations.
