On March 28, 2025, a major inter-se transfer happened within the promoter group of Nagarjuna Fertilizers and Chemicals (NFCL). Amlika Mercantile Private Limited (the existing promoter) sold 27.18 crore shares, equal to 45.44% of the company, to Agri Vestors Private Limited. Of this, 15.54 crore shares moved through a block deal on NSE, and the remaining 11.64 crore shares were transferred via a Share Purchase Agreement — both at Rs. 4.31 per share, totalling roughly Rs. 117 crore. Agri Vestors, which held 0 shares before, now holds 45.44% in NFCL. Both Amlika Mercantile and Agri Vestors are ultimately controlled by Mr. K Rahul Raju, who holds 99% of Agri Vestors.
Since both the seller and buyer belong to the same promoter family under Mr. K Rahul Raju, the ultimate promoter control over NFCL does not change. Shareholders are unlikely to see any meaningful impact on stock price or control dynamics, as this is effectively an internal restructuring within the promoter group.
