Calleis Properties Pvt Ltd and its Persons Acting in Concert (PACs) disclosed an internal restructuring of promoter shareholding in the company. On May 8, 2025, an aggregate of 1,88,74,064 shares (18.80% of equity capital) were moved between promoter group entities via an off-market inter-se transfer. Karanbhumi Estates Pvt Ltd acquired 1,00,79,525 shares (10.04%) and Kritikka Infrastructure Pvt Ltd acquired 87,94,539 shares (8.76%), while shares were transferred out by Jyestha Infrastructure, Calleis Real Estate, Calleis Constructions, and Calleis Properties. The overall combined promoter/PAC holding remained unchanged at 27.46% before and after the transaction.
This is purely an internal housekeeping exercise within the promoter group with no change in total promoter ownership (still 27.46%). Existing shareholders are unaffected and no material price impact is expected as no shares changed hands with outside parties.
