The Grob Tea Company has informed the exchanges that all four special resolutions put to vote through a postal ballot (e-voting from Nov 30 to Dec 29, 2025) have been passed with overwhelming shareholder support. The resolutions seek to: (1) raise the limit for giving loans, guarantees, or making investments under Section 186; (2) increase the company's borrowing powers under Section 180(1)(C); (3) raise limits for selling, mortgaging, or charging company assets under Section 180(1)(a); and (4) increase the cap on donations and contributions under Section 181. Of the 2,222 shareholders on record, 28 members cast votes representing 81.39% of outstanding shares, with promoters (holding 871,658 shares) voting 100% in favour. All four resolutions were approved with over 99.98% votes in favour and only 104-124 votes against each.
