Awaiting price reaction for this filing.
Minolta Finance held a postal ballot (remote e-voting from Dec 6, 2025 to Jan 4, 2026) covering four resolutions. Three ordinary resolutions approving related-party transactions with Tirupati Fincorp, Dhairya Management Services, and Anupam Stock Broking for FY2025-26 were passed with 54.38% votes in favour against 45.62% against. The fourth resolution — a special resolution to introduce the 'Minolta Finance Limited Employees Stock Option Plan 2025' (ESOP) — failed to pass, receiving only 54.38% support, well short of the 75% required for a special resolution. Only 25.25% of total shares were polled, and notably promoters holding 35,89,910 shares did not participate in the voting at all.
The ESOP 2025 plan has been rejected by shareholders, which means the company cannot proceed with this stock option scheme in its current form. The related-party transaction approvals passed with thin margins, signalling some shareholder dissent that investors should monitor. Low voting turnout and promoter non-participation may raise governance concerns for retail shareholders.
