ARSS Infrastructure Projects held its 25th AGM on 24th September 2025 via video conferencing, chaired by Shri Uday Narayan Mitra as Chairman of the Monitoring Committee. The meeting followed the NCLT Cuttack order dated 29th August 2025 approving the Resolution Plan submitted by Ocean Capital Market Limited, under which the Resolution Professional ceased his role and a Monitoring Committee was constituted on 5th September 2025. The company, engaged in road, railway and irrigation construction, reported severe financial stress with turnover falling to Rs. 165.39 Cr in FY25 from Rs. 320.87 Cr previously, and a PBT loss of Rs. 836 Cr (compared to Rs. 33.49 Cr loss prior year). Five resolutions were tabled; resolutions on financial statements adoption, cost auditor remuneration, secretarial auditor appointment (5-year term), and material related party transactions of up to Rs. 217.79 Crore with ABCI-SCPL-SIPS JV were passed with requisite majority. The re-appointment of director Shri Subash Agarwal was not taken on record since the approved Resolution Plan provides for a new Board to be proposed by the Resolution Applicant. Shareholder attendance was extremely low at just 53 shareholders representing 0.051% of paid-up capital.
