Thyrocare Technologies held its 25th Annual General Meeting on July 31, 2025, in physical mode at its corporate office in Navi Mumbai. All six resolutions were passed with the requisite majority, including adoption of FY25 financial statements, declaration of a final dividend of Rs. 21 per share (face value Rs. 10), re-appointment of Dr. Dhaval Shah as director, ratification of cost auditors' remuneration, approval of material related party transactions with Docon Technologies, and appointment of secretarial auditors. For FY25, the company reported revenue of Rs. 687.35 crore (up 20% year-on-year) and profit of Rs. 89.98 crore (up 29% year-on-year), and became the first national diagnostic chain to achieve 100% NABL accreditation for its owned labs. A total of 65 shareholders representing 71.33% of paid-up equity capital participated, with all resolutions approved by over 99.9% of votes polled. Promoters (holding about 71% of equity) voted 100% in favor on all non-conflicted resolutions, and public shareholders also voted overwhelmingly in favor.
Shareholders will receive a Rs. 21 per share dividend for FY25, a healthy payout supported by strong profit growth. The clean approvals across all resolutions, including the related party transaction with Docon Technologies, reflect smooth governance and no meaningful shareholder dissent on any agenda item.
