Tilaknagar Industries (TIL) held its Board Meeting on May 29, 2026, approving audited consolidated financial results for FY2026. Revenue from operations stood at Rs. 5,247.58 crores (vs Rs. 3,120.98 crores YoY), a growth of 68%, driven by the Imperial Blue acquisition completed in December 2025 for Rs. 3,442 crores. However, profit after tax for FY2026 was Rs. 2,087.02 lakhs (vs Rs. 22,959.29 lakhs YoY) due to exceptional items of Rs. 2,319.66 lakhs comprising Imperial Blue acquisition costs (Rs. 2,200.67 lakhs) and incremental gratuity under new labour codes (Rs. 1,189.83 lakhs). The Board recommended a 10% dividend (Rs. 1 per share), approved re-appointment of Chairman Amit Dahanukar and Whole-Time Director C.R. Ramesh for three-year terms, and reappointed Ms. Swapna Shah as Non-Executive Non-Independent Director for one year. The company also approved setting up a wholly-owned subsidiary in Nigeria (up to Rs. 30 crore investment) and a scheme to amalgamate two wholly-owned subsidiaries into TIL. The statutory auditor issued a qualified opinion regarding non-assessment of impairment for an idle ENA plant.
Strong revenue growth from Imperial Blue acquisition is offset by large exceptional items; dividend and new market expansion plans are positive for shareholders. Auditor qualification on ENA plant impairment warrants monitoring.
