Timex Group India announced the results of its postal ballot (remote e-voting) conducted from April 26 to May 25, 2025, where all three special resolutions were approved with the required majority. Resolution 1 sought approval for the revision, ratification, and waiver of excess remuneration paid to Managing Director Mr. Deepak Chhabra for March 2024 to February 2025, and passed with 99.98% votes in favor. Resolution 2 approved the revision of Mr. Chhabra's remuneration effective March 1, 2025, also passing with 99.98% support. Resolution 3 covered the re-appointment of Mr. Deepak Chhabra as Managing Director, which received 99.99% approval. Out of 47,667 equity shareholders on record, 146 members cast valid votes, with promoter group (holding 7.56 crore shares) voting entirely in favor and turnout at 74.97% of outstanding shares.
All three resolutions passed comfortably, securing continuity of leadership with Mr. Deepak Chhabra as Managing Director and locking in his revised remuneration. Minor public shareholder dissent (around 0.01-0.02% against) suggests no material governance concern, so limited stock price impact is expected.
