Tolins Tyres filed the Q1 FY26 Monitoring Agency Report submitted by India Ratings & Research, covering use of the ₹2,000 million fresh IPO proceeds raised in September 2024. By June 30, 2025, ₹1,797.71 million had been deployed, leaving ₹291.12 million unutilized, parked largely in a ₹260 million HDFC Bank fixed deposit. The company says there is no deviation from the stated objects and the statutory auditor has certified the same, though India Ratings flagged concerns about complex related-party transactions through Smart Enterprises and Well Pack Products, with around ₹400 million in receivables outstanding from Well Pack Products. The monitoring agency also noted that it could not independently confirm whether IPO funds were indirectly routed to related parties, and observed a delay of more than three months in implementing some objects, including a vehicle loan that was proposed to be repaid but has not been. The Monitoring Agency Agreement itself was terminated on August 8, 2025, and the company expects to fully deploy the remaining amount by September 2025 (with vehicle loan repayment pushed to December 31, 2025).
The MA's unresolved flags on related-party dealings, the terminated monitoring arrangement, and ongoing delays in deploying IPO proceeds are likely to weigh on short-term sentiment and warrant close investor attention, even as the company maintains there has been no deviation from stated objectives.
