AI summary

Tolins Tyres is setting up a new wholly owned subsidiary called Terra Rubber Private Limited, focused on the rubber recycling business, including collection, processing and disposal of waste tyres, and production of reclaim rubber, crumb rubber, rubber powder, pyrolysis oil and carbon black. The board approved the investment on July 8, 2025, with an initial capital of Rs. 1 lakh (10,000 equity shares of Rs. 10 each), making it a 100% subsidiary. The WOS will be incorporated in Kalady, Kerala, within 120 days. The move is aimed at backward integration (powdered rubber as a key raw material) and helping Tolins meet its Extended Producer Responsibility (EPR) compliance for tyres.

Likely market impact

This is a small initial capital outlay but a strategically meaningful step — it gives Tolins control over its rubber raw material supply chain and supports regulatory compliance. Shareholders should view it as a long-term diversification play rather than an immediate earnings catalyst; future capital infusion into the WOS will be the key thing to watch.
