Torrent Pharmaceuticals will acquire a 46.39% controlling stake in J.B. Chemicals & Pharmaceuticals (JB Pharma) from KKR (Tau Investment Holdings) for around INR 11,917 crore at INR 1,600 per share in cash. This will trigger a mandatory open offer for an additional 26% from public shareholders at INR 1,639.18 per share, and Torrent also intends to buy up to 2.80% from JB Pharma employees at the same INR 1,600 per share. After the acquisition, the two companies will merge, with JB Pharma shareholders receiving 51 Torrent shares for every 100 JB Pharma shares held, valuing JB Pharma at around INR 25,689 crore on a fully diluted basis. The deal combines Torrent's FY25 turnover of INR 11,516 crore with JB Pharma's INR 3,918 crore, and aims to strengthen Torrent's position in the Indian pharma market, add chronic and ophthalmology segments, and give it entry into the CDMO business. The transaction needs approvals from CCI, SEBI, stock exchanges, NCLT, and Torrent's shareholders, and is expected to close within six months.
This is a large, debt-funded acquisition that will significantly expand Torrent's scale and product portfolio, but the cash outflow of nearly INR 12,000 crore and the subsequent share issuance to JB Pharma shareholders will dilute existing Torrent investors.
