Trans India House Impex Ltd has incorporated a new subsidiary called 'TIHIL IDA Group Private Limited' on 11th September 2025, which is actually a Joint Venture with IDA Impex Private Limited. The company subscribed to 51% of the equity share capital by holding 2,55,000 equity shares of Rs. 10 each at face value, out of a total paid-up capital of Rs. 50 lakhs (5 lakh shares). The subsidiary will engage in trading, export, import and sale of footwear, garments, cosmetics, jewellery, leather goods, fashion accessories and similar lifestyle/consumer products. The investment is in cash, done at arm's length, within Section 186(2) limits, and is classified as a related party transaction though not material under SEBI Regulation 23.
This is a small-scale diversification move into lifestyle and consumer product trading via a JV, with limited immediate financial impact given the modest Rs. 25.5 lakh investment.
