Transcorp International has allotted 24,900 equity shares (face value Rs 2 each) to 7 employees who exercised their stock options under the company's ESOP 2017 scheme. The exercise prices were Rs 2.00, Rs 10.60, and Rs 14.95 per share. As a result, total equity shares rose from 3,19,28,344 to 3,19,53,244, and paid-up capital increased from Rs 6,38,56,688 to Rs 6,39,06,488. The newly issued shares rank equally with existing shares but carry a 1-year lock-in until 30 July 2026. The allotment was approved by the Nomination and Remuneration Committee on 31 July 2025 and has received BSE's in-principle approval.
This is a very small (approx 0.08%) equity dilution from a routine ESOP exercise, so the impact on existing shareholders or the share price is minimal. The 1-year lock-in means these shares cannot be sold by allottees until July 2026, preventing near-term selling pressure.
