Transpek Industry held its 59th AGM on 3rd September 2025 via video conference, chaired by Shri Ashwin C. Shroff. Six ordinary resolutions were placed before members, including adoption of FY25 audited financial statements, declaration of a dividend of Rs.20 per share (200%) on equity shares of Rs.10 each, re-appointment of Shri Dipesh K. Shroff (retiring by rotation), ratification of cost auditor remuneration, appointment of M/s. TNT & Associates as secretarial auditors for five years, and re-appointment of M/s. Bansi S. Mehta & Co. as statutory auditors for five years. The Chairman also informed members about the sudden demise of Director Shri Atul G. Shroff during the year, and the resignation of Independent Director Shri Ramkisan A. Devidayal effective 24th June 2025 due to ill health. Remote e-voting was conducted from 31st August to 2nd September 2025, with combined voting results to be submitted to BSE within 48 hours.
The Rs.20 per share dividend (200%) is a positive cash return for shareholders. The re-appointment of statutory auditors for another five years signals audit continuity, while the loss of a long-time director and resignation of an independent director are notable governance changes that may affect board composition in the near term.
