Sundaram Finance Holdings Limited (SFHL) announced that its board has approved acquiring up to 6,22,752 equity shares (4.99%) of India Motor Parts & Accessories Limited (IMPAL) at the prevailing market price, through the block deal window or other permitted mechanisms. This will raise SFHL's stake in IMPAL from 20.00% to 24.99%, staying just below the 25% threshold that would trigger a mandatory open offer under SEBI takeover rules. The transaction is a cash deal, not a related-party transaction, and is expected to be completed by 30 June 2026. IMPAL is a listed auto parts distributor (90+ branches, 50+ manufacturers) with FY25 revenue of Rs 835.98 crore, growing steadily from Rs 776.47 crore in FY24 and Rs 737.97 crore in FY23.
This is a stake-consolidation move within the Sundaram/TSF group rather than a new strategic entry, and the deliberate cap at 24.99% avoids triggering a mandatory open offer, so there is no immediate dilution or exit-event risk for existing IMPAL shareholders. For SFHL, it strengthens its investment portfolio in a profitable listed associate without significant cash strain.
