TVS Holdings Limited has subscribed to an additional 22,91,39,017 equity shares of ₹10 each in its subsidiary Home Credit India Finance Private Limited (HCIFPL) at ₹22.99 per share, aggregating to ₹526.79 Crores in cash. Post this acquisition, TVS Holdings' stake in HCIFPL rises to 80.39%. HCIFPL is a middle-layer NBFC offering consumer durable and cash loans, with FY25 turnover of ₹2,096.54 Crores but a loss after tax of ₹530.04 Crores. The investment is aimed at sustaining growth and maintaining capital adequacy. The transaction is a related-party deal (subsidiary), conducted at arm's length based on a registered valuer's report, and no regulatory approvals were required.
This is a capital infusion into a loss-making subsidiary rather than a new acquisition, which may raise concerns about the long-term viability of HCIFPL but is intended to support growth and capital adequacy. Shareholders should watch for improvement in HCIFPL's financials; the stock may see limited immediate reaction as the deal is within an existing subsidiary.
