TVS Motor Company has announced that its step-down subsidiary TVS EBike Company AG has entered into an asset transfer agreement with German company Callista Asset Management 33 GmbH on May 14, 2026. The deal involves transfer of certain assets and liabilities of TVS Ebike, which operates a Swiss retail network under the m-way brand and designs/develops ebikes under brands including Cilo, Simpel, Allegro, EGO Movement, and EBCO. TVS Ebike had standalone turnover of CHF 51.55 million and net worth of CHF 2.63 million for calendar year 2025. The consideration is estimated at CHF 16 million (book value of net assets), payable over 24 months, with expected completion by August 13, 2026. This is not a slump sale and is not a related party transaction.
The divestment of TVS Ebike assets represents a strategic exit from the European ebike business segment. The CHF 16 million consideration represents book value, suggesting no significant profit or loss on the transaction. Shareholders can expect no change in shareholding structure as this involves subsidiary-level asset transfer.
