Ugro Capital held its 33rd AGM on 29 May 2026 via video conferencing. Seven resolutions were taken up: adoption of standalone and consolidated financial statements for FY2026, re-appointment of Mr. Rohit Goyal as a director retiring by rotation, appointment of M/s G.P. Kapadia & Co. as the new statutory auditors (replacing the previous auditor), re-appointment of Mr. Shachindra Nath as Vice Chairman and Managing Director, approval of his variable compensation and any unpaid fixed compensation, and approval of ESOP grants to employees of subsidiary companies under the UGRO Capital Employee Stock Option Scheme-2022. Remote e-voting was conducted prior to and during the AGM, with results pending declaration from the scrutinizer.
The appointment of a new statutory auditor and the ESOP scheme expansion for subsidiary employees are noteworthy developments that shareholders should monitor for governance and employee retention implications. Final voting results are yet to be declared.
