Unicommerce eSolutions held its 14th AGM on September 30, 2025, via video conferencing, with 50 members representing about 4.34 crore shares in attendance. The meeting lasted about 44 minutes (10:30 AM to 11:14 AM) and was chaired by Mr. Manoj Kohli. Seven resolutions were tabled, including adoption of audited financial statements for FY25, re-appointment of Mr. Bharat Venishetti as director, appointment of Price Waterhouse as new statutory auditor replacing S.R. Batliboi & Associates, and appointment of CS Naresh Verma as secretarial auditor. Two key resolutions involved managerial remuneration for MD & CEO Kapil Makhija for FY26, including a special resolution to ratify an additional benefit of up to Rs. 29.50 crore over and above his approved annual compensation. Another special resolution approved the preferential issue and allotment of equity shares. Promoters Kunal Bahl and Rohit Bansal highlighted business growth and the next phase involving subsidiaries Shipway and Convertway.
Shareholders should note the preferential equity share issue, which could lead to dilution of existing holdings. The CEO's additional remuneration of up to Rs. 29.50 crore is unusually large and warrants attention. The change of statutory auditor to Price Waterhouse and the planned growth via Shipway and Convertway are positive governance and expansion signals.
