The board, at its meeting on 30th May 2025, approved audited standalone and consolidated financial results for Q4 and FY ended 31st March 2025, with the statutory auditor giving an unmodified (clean) opinion. M/s. Hemang Satra & Associates has been appointed as Secretarial Auditor for five years (FY 2025-26 to 2029-30), and M/s. Akash Prajapati and Company as Internal Auditor for FY 2025-26. On a consolidated basis, revenue surged to Rs 10,136.97 lakhs (from Rs 122.70 lakhs last year) and net profit jumped to Rs 1,598.89 lakhs (EPS Rs 5.05), driven mainly by newly acquired subsidiaries — British Brewing Company (India, acquired Nov 2024) and UVS Investment Management PTY Ltd (Australia, acquired May 2024). About 95% of consolidated revenue came from outside India. On a standalone basis, however, the company posted a net loss of Rs 564.38 lakhs against revenue of just Rs 184.44 lakhs.
The massive jump in consolidated revenue and profit reflects the impact of subsidiary acquisitions rather than organic growth, so shareholders should note that the standalone business is still loss-making. The clean audit opinion and standard auditor appointments are routine governance updates with no negative implications for the stock.
