V-Guard's board approved an additional investment of ₹25,00,29,374 (~₹25 crore) in its existing associate Gegadyne Energy Labs Pvt Ltd (GEL), a Mumbai-based firm working on alternate battery technology. Post-investment, V-Guard's stake in GEL will rise from 24.32% to 30.35% on a fully diluted basis. GEL is yet to commence commercial operations (revenue is nil; other income was just ₹30.3 lakhs in FY25), so this is essentially a strategic, growth-stage investment rather than a revenue-accretive deal. The investment is in the form of 1,438 preference shares at ₹500 each with a premium of ₹1,73,373 per share, to be completed by March 31, 2026.
Neutral to mildly positive — the deal gives V-Guard deeper exposure to next-gen battery technology for its UPS and energy storage products, but since GEL is pre-revenue and only an associate (not subsidiary), there is no immediate impact on consolidated earnings. Shareholders should watch for future commercialisation milestones from GEL.
