Vaishali Pharma reported Q3 FY26 standalone revenue of ₹24.65 crore, down about 12% year-on-year from ₹27.91 crore, with profit after tax falling to ₹1.30 crore from ₹1.44 crore. For the nine-month period, revenue grew roughly 18.7% to ₹81.85 crore, but profit after tax declined about 26% to ₹3.77 crore versus ₹5.11 crore last year, indicating margin compression. The statutory auditor issued an unmodified limited review report on both standalone and consolidated results. The Board also approved a preferential issue of up to 61.23 lakh equity shares at ₹20 each (aggregating ~₹12.25 crore) to Kesar Pharma Limited, its associate company, entirely through a share-swap route to acquire further equity in Kesar Pharma. This will dilute existing shareholders by about 4.48% on a post-issue basis and is subject to shareholder approval via postal ballot.
Near-term pressure on the stock is possible given the year-on-year decline in Q3 revenue and PAT, along with the 26% drop in nine-month profits despite revenue growth. The share-swap acquisition strengthens the company's stake in its associate Kesar Pharma without cash outflow, but introduces a related-party transaction and ~4.5% equity dilution that shareholders must approve.
