Valecha Engineering reported audited FY25 results showing a sharp drop in core operations — revenue from operations fell to ₹29.65 Cr from ₹57.01 Cr in FY24, a ~48% decline. However, the company swung to a reported profit of ₹437.37 Cr (vs. loss of ₹1.50 Cr last year) almost entirely due to exceptional items of ₹433.62 Cr. These one-time gains arose from the NCLT-approved Resolution Plan: ₹640.55 Cr of old financial liabilities were written back, partly offset by ₹185.64 Cr of irrecoverable receivables/loans written off and ₹21.29 Cr paid against corporate guarantees. Borrowings collapsed from ₹498.31 Cr to just ₹0.01 Cr, and total equity surged from ₹20.28 Cr to ₹514.75 Cr as the Successful Resolution Applicant (J.K. Solutions + One Media consortium) infused capital and now holds 95% of the company. The promoter group's shareholding was fully written down. The auditor issued an unqualified opinion but flagged multiple Emphasis of Matter paragraphs on CIRP, pending recoverability assessments, and unprovided liabilities.
The headline profit is a one-time accounting effect from the CIRP resolution and does not reflect ongoing business strength — core operations actually shrank. Shareholders should expect the stock to react to the change in control (95% held by new promoters) and note that the new management now has a clean balance sheet with virtually no debt but a much smaller revenue base.
