Valor Estate Limited (formerly D B Realty) has issued a Postal Ballot notice seeking shareholder approval via e-voting from March 21, 2026 to April 19, 2026. The ballot covers five resolutions: (1) appointment of Mr. Sundaram Rajagopal as Independent Director for 5 years (Feb 2026 to Feb 2031) replacing Mr. Mahesh Gandhi whose term ended; (2) approval for acquiring 49% stake in Bamboo Hotel & Global Centre (Delhi) from related party Advent Hotels International for ~Rs 596.70 crores, plus taking over loans of ~Rs 1,058.89 crores, totaling ~Rs 1,655.59 crores to be settled against existing receivables of ~Rs 2,150.15 crores from Advent Hotels, along with a corporate guarantee of up to Rs 2,500 crores and loans of up to Rs 250 crores to Bamboo Hotel; (3) and (4) material related party transactions of up to Rs 250 crores each with joint ventures Worli Urban Development Project LLP and Shiv Infra Riverwalk Private Limited for FY 2026-27; and (5) appointment of Mr. Arshad Balwa, a relative of Vice-Chairman cum MD Mr. Shahid Balwa, as President-Acquisitions and Operations at Rs 48 lakhs per annum.
The resolutions include a significant acquisition of 49% in Bamboo Hotel (a hotel project with St. Regis and Marriott Marquis brands at Delhi Aerocity) and consolidation of related-party exposure, which could affect the company's debt position and capital allocation. The appointment of a promoter-relative to a senior management role is a governance point to watch. Voting outcome on April 19, 2026 will be key; rejection of the RPT resolutions could derail the Bamboo Hotel acquisition plan.
