Vani Commercials Ltd reported unaudited financial results for Q1 FY26 (quarter ended June 30, 2025). Total income rose to ₹208.63 lakhs from ₹139 lakhs in the year-ago quarter, a jump of about 50%, driven by revenue from operations of ₹131.14 lakhs and other operating income of ₹77.49 lakhs. The company swung to a profit after tax of ₹19.77 lakhs compared to a loss of ₹20 lakhs in Q1 FY25, with basic EPS improving to ₹0.17 from a negative ₹0.17 earlier. Statutory auditor MKRJ & Company issued an unqualified limited review report on the results. Separately, the board approved the conversion of outstanding loans into equity shares (subject to member approval at the AGM) and appointed Mr. Amit Kumar Chauhan as an additional independent director.
The sharp YoY swing from loss to profit and ~50% revenue growth signal improving business performance, which is positive for the stock. However, the proposed loan-to-equity conversion could lead to equity dilution for existing shareholders if approved at the AGM scheduled for September 3, 2025.
