Vardhman Polytex has allotted 75 lakh equity shares (face value Re. 1 each) to Oswal Holding Private Limited, part of the promoter group, on conversion of an equal number of convertible warrants. The shares were issued at Rs. 12.55 per share (including a premium of Rs. 11.55). The company received Rs. 7.06 crore from the allottee, representing the balance 75% of the issue price. Following this allotment, the company's paid-up equity capital has risen to Rs. 47.99 crore, comprising 47,98,94,004 shares. Notably, 2,85,25,000 warrants originally issued in March 2025 are still pending conversion, meaning further share dilution is possible in the future.
This is a promoter-group-led capital infusion, so ownership remains within the promoter fold, though existing public shareholders face dilution from new share issuance.
