Varroc Engineering has decided to exercise the Call Option for early redemption of its 8.6% Senior, Secured, Redeemable, Taxable, Transferable Non-Convertible Debentures (ISIN: INE665L07040). The NCDs have a face value of ₹1,00,000 each, totalling 25,000 NCDs aggregating to ₹250 Crores, originally issued via private placement on September 4, 2023. A new Record Date of February 13, 2026 has been fixed for the purpose of the call option, and all previously communicated future record dates stand cancelled. The NCDs will be redeemed on or before March 7, 2026, in line with the terms of the Debenture Trust Deed.
This is a neutral-to-slightly-positive development for shareholders — the company is voluntarily redeeming ₹250 Crore of debt early, which reduces future interest outflows but also means cash is being used to retire the NCDs ahead of schedule. Investors should note the reduced debt servicing burden going forward.
