Shareholders approved the audited standalone and consolidated financial statements for FY25, a final dividend of Rs. 1 per share (100% of face value), and the re-appointment of Tarang Jain as Chairman & Managing Director along with Arjun Jain and Dhruv Jain as Whole-Time Directors. New Independent Directors Akshaykumar Chudasama and Padmanabh Sinha were also approved. Other approvals include the issue of Non-Convertible Debentures on a private placement basis, reclassification of authorised share capital, amendments to the Memorandum of Association, and related-party transactions under Section 185/186. Chairman Tarang Jain reported FY25 consolidated revenue of Rs. 81,541 million (8% growth), PBT margin improvement to 3.8%, free cash flow of Rs. 3,116 million, and ROCE of 20.8%. The company also sold its China JV stake for RMB 290 million in May 2025 and increased renewable energy sourcing to 31% in FY25.
All resolutions passed with overwhelming majority, with most receiving over 98% support, indicating strong shareholder confidence. Shareholders are set to receive a Rs. 1 dividend per share, and the approval for NCD issuance gives the company flexibility to raise debt funding. The appointment of next-generation family member Dhruv Jain as Whole-Time Director signals long-term succession planning.
