Varroc Engineering has published its unaudited Q1 FY26 results (quarter ended June 30, 2025) in newspapers as required by SEBI listing rules. Standalone total income rose to Rs 1,846.6 crore from Rs 1,698.4 crore YoY, while standalone profit after tax nearly doubled to Rs 86.6 crore from Rs 45.1 crore, with EPS at Rs 5.67 vs Rs 2.95. On a consolidated basis, profit jumped to Rs 107.4 crore from Rs 34.1 crore, with EPS at Rs 6.88 vs Rs 2.12. The results carry an auditor qualification regarding a settlement offer from an overseas party claiming breach over Rs 209.89 million of revenue. The company also disclosed a new ICC arbitration notice from OPmobility (France) seeking US$ 66.41 million plus legal costs, which it plans to contest. Other items include completion of the China JV (VTYC) transfer, the Varroc Polymers merger (effective Feb 1, 2025), ongoing GST disputes worth over Rs 1,000 crore in penalties under appeal, and a provision for KTM's insolvency.
Strong operational performance with profit nearly doubling YoY is a positive, but the audit qualification, pending arbitration claims of ~US$ 66 million, and large GST penalty disputes create significant overhang and uncertainty for shareholders. Net impact is mixed — solid earnings growth offset by meaningful legal and regulatory risks.
