Varroc Engineering reported strong Q1 FY26 results with standalone revenue growing 8.7% YoY to Rs. 18,428.87 million and PAT nearly doubling to Rs. 866.28 million (up ~92%) versus Rs. 451.11 million in Q1 FY25 (restated). Consolidated revenue rose to Rs. 20,275.51 million with PAT surging to Rs. 1,074.20 million from Rs. 340.69 million, boosted by a one-time exceptional gain of Rs. 611.94 million from the disposal of its China JV (VTYC). Operating margin expanded significantly to 7.91% standalone (from 5.94%). However, statutory auditor S R B C & Co LLP issued a qualified review report citing inability to comment on Rs. 209.89 million of revenue under dispute from an overseas settlement claim. The filing also highlights an ongoing ICC arbitration from OPmobility (claims quantified at US$ 66.41 million plus legal costs), and GST-related demands totalling over Rs. 1.4 billion (including interest and penalty) which the company is contesting.
Strong headline PAT growth and margin expansion are positive signals, but a substantial chunk of consolidated profit comes from a one-time JV disposal gain, so underlying operating performance growth is more modest. The auditor's qualification and large contingent exposures (OPmobility arbitration and GST disputes) are key risks that investors should monitor as they could materially affect future earnings.
