Aarvee Denims & Exports Limited has informed the Exchange regarding the Amendment to AOA/MOA of the company.

At the 36th Annual General Meeting held on 30 September 2025, shareholders of Varvee Global Limited approved changes to the company's Memorandum of Association (MOA) through special resolutions. Three new objects have been added to the Object Clause III(A): (1) acting as advisors, commission agents and consultants across textile, legal, business management, IT/software and related fields; (2) developing, generating and harnessing renewable energy such as solar, wind, hydro, geothermal and biomass, including manufacturing, installation and consultancy; and (3) developing, constructing and operating infrastructure projects like roads, highways, bridges, buildings and urban infrastructure, along with EPC services. The MOA has also been re-aligned with the Companies Act, 2013, including renumbering clauses from Roman to English numerals, restructuring the Objects clause into 3(a) and 3(b), deleting the old 'other objects' Clause III(C), and updating the liability clause. The company was renamed from 'Aarvee Denims and Exports Limited' to 'Varvee Global Limited' in August 2025, and these changes point to a strategic shift beyond its core textile business. Authorised share capital remains Rs. 50 crore (3.5 crore equity shares of Rs. 10 each and 1.5 crore preference shares of Rs. 10 each).
