Vaswani Industries reported FY2026 total income of Rs. 4,682 crore, up 13.5% from Rs. 4,140 crore in FY2025, driven by growth in both Iron & Steel and Power segments. However, profit after tax fell sharply to Rs. 424 lakh from Rs. 860 lakh — a 51% decline — primarily due to finance costs doubling to Rs. 1,757 lakh (from Rs. 799 lakh), higher depreciation of Rs. 936 lakh (up from Rs. 440 lakh due to newly capitalised Solar Power and Induction Furnace plants), and exceptional items of Rs. 353 lakh including MAT credit write-off and loss on share buyback. Q4 standalone net profit was Rs. 539 lakh on revenue of Rs. 1,439 crore. The Board approved a preferential issue of 16,45,000 equity shares at Rs. 60 per share (face value Rs. 10 + premium Rs. 50), raising Rs. 9.87 crore, all to promoter group allottees. Statutory auditors issued an unmodified opinion with an emphasis of matter on pending MSME supplier disclosure compliance.
The stock may face pressure due to the 51% PAT decline and rising debt levels, though the promoters' Rs. 9.87 crore preferential investment signals confidence. The sharp rise in finance costs and depreciation from new plant capitalisation will weigh on near-term profitability.
