At its 5th September 2025 meeting, Vaxfab Enterprises' board approved acquiring 100% stakes (via Share Purchase Agreements, cash consideration) in three entities to make them wholly owned subsidiaries: Aarsha International Limited (travel and tour operations, FY25 turnover ~₹15.85 crore), Satvat Agro LLP (paper and packaging, FY25 turnover ~₹88.65 lakh), and Eklingji Tradelink Private Limited (general trading, FY25 turnover ~₹11.31 crore). Completion is targeted within 6 months, and the acquisitions have been flagged as related party transactions. Separately, the board approved issuing 2,54,94,763 fully convertible warrants at ₹21.02 each, aggregating ~₹53.59 crore, on a preferential basis to 58 allottees. Authorised share capital was also raised from ₹9.3 crore to ₹35 crore, the 42nd AGM was scheduled for 30th September 2025, and a new internal auditor and company secretary were appointed.
The company is pursuing aggressive diversification into unrelated businesses (travel, paper, trading) using both acquisitions and a ~₹53.59 crore warrant-based capital raise, which will lead to equity dilution once converted and could pressure the stock. Since the acquisitions are related-party deals, shareholders should review them carefully at the 30th September AGM before approving the preferential issue and share capital expansion.
