GLAS Agency Hong Kong disclosed creation of encumbrance over 2,204,724,753 shares (56.38 percent) of Vedanta Power under a USD 1 billion Facility Agreement dated 15 July 2026, with Citigroup and Standard Chartered as arrangers. Shares are held by Vedanta Resources via subsidiaries. GLAS already had encumbrance on the same shares from an earlier bond issuance, so holdings before and after remain unchanged. Agreement requires VRL group to keep at least 50.1 percent ownership in VPL if it becomes a Material Subsidiary.
Large pledge of promoter-held shares signals leveraged refinancing by Vedanta group. Same shares were already pledged, but overall debt burden rises. Watch related-party risks.
