Vedanta Resources Ltd (parent) and its subsidiaries have disclosed creation of encumbrance over 2,20,47,24,753 equity shares (56.38% of total share capital) of Vedanta Ltd to Madison Pacific Trust Ltd on behalf of lenders. This encumbrance covers 99.99% of the total promoter shareholding of 2,20,48,67,749 shares (56.38%) held through Twin Star Holdings, Welter Trading, Vedanta Holdings Mauritius, Vedanta Holdings Mauritius II, and Vedanta Netherlands Investments BV. The encumbrance is in connection with a new facility agreement dated June 24, 2025, for up to US$ 600 million (US$ 380 million committed, up to US$ 220 million additional), with proceeds to be used for repaying existing debt of the VRL Group and related interest/fees. Note 2 clarifies that the encumbrance levels remain the same as under previous facility agreements — this is a refinancing-related disclosure. The agreement includes a negative lien, restricts further pledging, and requires the promoter group to retain at least 50.1% ownership in Vedanta.
No change in actual promoter shareholding — the encumbered share count stays the same as before (refinancing of existing debt). However, 99.99% of promoter shares remain encumbered, signalling significant leverage at the parent level, which keeps Vedanta Ltd exposed to any financial stress at Vedanta Resources. Retail investors should monitor parent-company debt levels closely as it could heighten risk of forced selling or restructuring.
