Vega Jewellers' board, which met on 3 January 2026, approved the allotment of 5 lakh convertible warrants to the company's promoters on a preferential basis. Each warrant carries a price of Rs. 197.42, taking the total deal value to roughly Rs. 9.87 crore. The company has already received 25% of the warrant price upfront — about Rs. 2.47 crore — from promoters Mr. Naveen Kumar Vanama and Mr. Sudhakar Vanama. Since the warrants have been allotted but not yet converted into equity shares, there is no change in the paid-up share capital right now. BSE had already given its in-principle approval for this preferential issue on 29 December 2025.
This signals promoter confidence and an upcoming capital infusion into the company, but retail shareholders should note that conversion of these warrants into equity shares in the future will lead to dilution of their holdings. There is no immediate change to the share capital or voting pattern as of now.
